These Terms of Service (the "Terms") govern your access to and use of the YeetIt mobile application, website, and related services (collectively, the "Services") provided by YeetIt, Inc. or its affiliates ("YeetIt," "we," "us," or "our"). By creating an account, connecting an email account, browsing item cards, or otherwise accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.
The Services are intended for individuals located in the United States. By using the Services, you represent and warrant that you are at least 18 years old, reside in the United States, and are legally able to enter into a binding contract. If you use the Services on behalf of another person or entity, you represent and warrant that you have authority to bind that person or entity to these Terms.
YeetIt provides a technology platform designed to help users identify items they may have purchased and still own. As part of the Services, YeetIt may allow you to connect an email account, use automated systems to identify likely purchase-related information, and present potential items in a card-based interface for your review. Those cards may include an estimated value, product title, description, merchant or brand references, and images obtained from you, merchants, service providers, or other third-party sources.
YeetIt does not guarantee that any item surfaced by the Services was purchased by you, is currently owned by you, is eligible for sale, or has any particular market value. Your use of the Services does not create a promise by YeetIt to purchase an item from you, list an item for sale, broker a transaction, or secure any minimum resale price unless YeetIt expressly agrees to do so in a separate written agreement.
To use some or all features of the Services, you may need to create an account and provide accurate, current, and complete information. You agree to keep your account information updated and to maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account, whether or not authorized by you, until you notify us of unauthorized access and we have had a reasonable opportunity to respond.
We may suspend or terminate your account, or restrict access to the Services, if we believe your information is inaccurate, your account is being used unlawfully, or your use of the Services creates risk for YeetIt, other users, or third parties.
If you choose to connect an email account or any other third-party account to the Services, you authorize YeetIt and its service providers to access, retrieve, process, and analyze information from that account as necessary to provide, maintain, and improve the Services. This may include order confirmations, receipts, transaction-related messages, message content, metadata, sender information, attachments, and related purchase signals that our systems determine are relevant to identifying items and generating item cards.
You represent and warrant that you have all rights and permissions necessary to connect any account you link to the Services, and that YeetIt's access and processing of information from that account as directed by you will not violate any agreement or applicable law. You may disconnect a linked account through available settings or by contacting us, but you acknowledge that disconnecting an account may reduce or disable Service functionality.
When you swipe through or otherwise interact with item cards, you may be asked to confirm whether an item was purchased by you, whether the item is still in your possession, and whether related information is accurate. You are solely responsible for the accuracy of any confirmation, rejection, correction, or other information you provide through the Services.
By confirming an item, you represent and warrant that, to the best of your knowledge, the information you submit is truthful and not misleading. You further represent and warrant that you will not use the Services to misrepresent ownership, impersonate another person, submit fraudulent information, or interfere with the operation of the Services.
The Services may display estimated prices, descriptions, titles, images, brand information, or other item-related content generated or sourced from automated models, merchant messages, public sources, or third-party providers. This information is provided for convenience and informational purposes only. It may be incomplete, outdated, approximate, or incorrect.
YeetIt does not warrant the accuracy, completeness, merchant authenticity, ownership status, resale eligibility, or current market value of any item information displayed through the Services. Any value estimate is only an estimate and should not be interpreted as an appraisal, guaranteed offer, financing determination, tax advice, or legal advice.
You agree not to use the Services in any unlawful, deceptive, harmful, or unauthorized manner. Without limiting the foregoing, you agree not to: attempt to access accounts or data you are not authorized to access; use bots, scraping tools, or automation to extract or copy Service data except as expressly permitted by us; interfere with or disrupt the integrity or performance of the Services; reverse engineer or attempt to discover source code except to the extent prohibited by law; upload malicious code; use the Services to commit fraud or infringe another person's rights; or use the Services in violation of applicable consumer protection, privacy, intellectual property, or anti-spam laws.
You agree that we may send you transactional, operational, legal, and account-related communications electronically, including by email, in-app message, or other contact information you provide. You are responsible for keeping your contact information current. Promotional communications, if any, will be subject to the choices and rights described in our Privacy Policy and applicable law.
The Services, including their design, software, text, graphics, interfaces, card layouts, branding, and all related intellectual property, are owned by YeetIt or its licensors and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, YeetIt grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.
Except as expressly permitted in writing by YeetIt, you may not reproduce, modify, distribute, publicly display, create derivative works from, sell, lease, sublicense, or otherwise exploit the Services or any part of them. All rights not expressly granted are reserved.
If you submit ideas, suggestions, comments, or other feedback regarding the Services, you grant YeetIt a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid right to use, reproduce, modify, adapt, publish, and otherwise exploit that feedback for any lawful purpose, without restriction or compensation to you.
The Services may rely on or interoperate with third-party services, including email providers, hosting services, analytics providers, identity providers, data vendors, and image or pricing-information sources. YeetIt does not control and is not responsible for the availability, security, content, or practices of third-party services. Your use of third-party services may also be governed by separate terms and privacy notices provided by those third parties.
You may stop using the Services at any time. We may suspend, limit, or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, created legal exposure, engaged in fraud or misuse, or if we discontinue the Services or a feature of the Services.
Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination, including sections relating to ownership, disclaimers, limitations of liability, indemnity, dispute resolution, and miscellaneous provisions, will survive.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YeetIt DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, YeetIt DOES NOT WARRANT THAT THE SERVICES WILL IDENTIFY ALL OF YOUR PURCHASES, CORRECTLY DETERMINE OWNERSHIP, PRODUCE ACCURATE OR CURRENT ITEM DETAILS, OR GENERATE ACCURATE VALUE ESTIMATES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YeetIt AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some states do not allow certain warranty disclaimers or liability limitations, so portions of this section may not apply to you to the extent prohibited by law.
You agree to defend, indemnify, and hold harmless YeetIt and its officers, directors, employees, affiliates, licensors, and service providers from and against any claims, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Services, your breach of these Terms, your violation of applicable law, your infringement of any third-party rights, or your submission of false, misleading, or unauthorized information.
Please read this section carefully because it affects your legal rights.
You and YeetIt agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will first be addressed through a good-faith effort to resolve the matter informally. Before either party files a claim, that party must send written notice to the other describing the nature of the dispute and the requested relief. If the dispute is not resolved within 30 days after notice is received, either party may pursue binding arbitration, except for matters that qualify for small claims court or claims for injunctive or equitable relief related to misuse of intellectual property or unauthorized access.
Except to the extent prohibited by law, any such dispute will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable consumer rules. The arbitration will be conducted in California unless the parties agree otherwise or the applicable rules permit remote proceedings. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND YeetIt AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable as to any claim or request for relief, then that claim or request for relief will be severed and may proceed in court, but only to the extent required by law.
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of California, without regard to conflict-of-laws principles, except to the extent superseded by the Federal Arbitration Act or other applicable federal law.
We may update these Terms from time to time. If we make material changes, we may provide notice by updating the date at the top of these Terms, by posting a notice through the Services, by email, or by other reasonable means. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
These Terms constitute the entire agreement between you and YeetIt regarding the Services and supersede prior or contemporaneous understandings on that subject. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. YeetIt's failure to enforce any provision is not a waiver of its right to do so later. You may not assign these Terms without YeetIt's prior written consent. YeetIt may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
